General Terms and Conditions of Sale

These General Terms and Conditions of Sale (GTCs) apply to all sales of products concluded by AFD44 with any professional buyer (hereinafter "the Customer"). They constitute the sole basis of the commercial relationship in accordance with Article L.441-1 of the French Commercial Code.

Any order implies full and unreserved acceptance of these GTCs. Any conflicting condition set by the Customer shall be unenforceable against AFD44, unless prior written agreement has been given.

AFD44 sells beverages and food products, including:

The products comply with current French and European regulations (health standards, labelling, traceability).

3.1 Price

Prices are quoted in euros excluding VAT (HT). The applicable VAT is that in force on the day of invoicing. AFD44 reserves the right to change its prices, subject to informing the Customer 4 weeks in advance.

3.2 Discounts

Any discounts are granted in writing only and do not constitute an acquired right for future orders.

3.3 Price Revision

AFD44 reserves the right to revise its prices in the event of a significant variation (≥ 5%) in the cost of raw materials, energy, transport, or packaging. The Customer will be informed in writing with 4 weeks' notice.

4.1 Placing Orders

Orders are placed online on afd44.fr: products are added to the cart, the cart is validated, then payment is made securely by card (Stripe). Successful payment constitutes a firm and final order. Alternatively, an order may be sent in writing (email or signed purchase order); no verbal orders are accepted.

4.2 Minimum Order

No minimum amount is required for deliveries within mainland France. For any delivery outside France, the minimum order amount is set at €12,000 excluding VAT.

4.3 Confirmation

For online orders, confirmation occurs automatically once payment is captured: an order summary and an invoice are sent by email. For orders sent in writing, acceptance results from a written confirmation from AFD44. AFD44 reserves the right to refuse or cancel (with full refund) any order in the event of unavailability, obvious pricing error or suspected fraud.

5.1 Delivery Times

Delivery times are indicative. AFD44 undertakes to deliver within 5 to 10 working days from order confirmation and receipt of payment.

5.2 Delivery Costs

Delivery costs are borne by the Customer. Mainland France: a flat fee of €45 excluding VAT per order, with free delivery for orders of €6,000 excluding VAT or more. Outside France: costs are calculated at €2.50 excluding VAT per unit ordered, with no free-delivery threshold and a minimum order of €12,000 excluding VAT. Customs duties, taxes and import formalities in the destination country remain entirely the Customer's responsibility.

5.3 Receipt of Goods

Upon delivery, the Customer is required to check the condition of the products in the presence of the carrier. Any anomaly must be reported immediately on the delivery note and confirmed by registered letter with acknowledgement of receipt within 3 working days. After this period, no claims will be accepted.

5.4 Transfer of Risk

The transfer of risk occurs upon delivery to the Customer. AFD44 declines all responsibility for damage occurring after delivery.

6.2 Accepted Payment Methods

Card payments are processed by Stripe: AFD44 does not store any card details. No discount will be granted for early payment, unless agreed in writing.

6.3 Late Payment (derogatory cases)

As payment is due at the time of ordering, no payment term is granted in principle, and the clauses below apply only where AFD44 has expressly granted deferred payment in writing (bank transfer, cheque or SEPA direct debit after invoicing).

6.4 Failed Payment or Suspension

Any order whose online payment is declined, cancelled or not completed is not validated: no preparation or shipment is initiated. In the event of an unpaid invoice at its due date under a granted deferred payment, AFD44 reserves the right to immediately suspend any ongoing delivery and to refuse any further deferred payment.

6.5 Termination Clause

Where deferred payment has been granted, any unpaid amount not settled within 15 days following a formal notice by registered letter with acknowledgement of receipt will lead to the automatic termination of the relevant order, with the Customer being solely at fault.

AFD44 retains full ownership of the delivered products until full payment of the price in principal and accessories. The Customer undertakes not to resell, transform, or pledge the products as long as the price has not been paid in full.

In the event of non-payment, AFD44 may demand the immediate return of the products not yet paid for, without prejudice to any other action.

No return of goods will be accepted without prior written agreement from AFD44. Products returned without agreement will be refused and sent back at the Customer's expense.

In the case of an accepted return, the products must be returned in their original condition, unopened and undamaged. Return costs are borne by the Customer.

No returns will be accepted for products with a use-by date of less than 3 months.

AFD44 guarantees that its products comply with current health and food regulations. AFD44's liability is limited to the amount of the relevant order and cannot be engaged in the event of poor storage conditions or abnormal use of the products.

AFD44 cannot be held responsible for any delay or non-performance related to a case of force majeure (natural disaster, strike, pandemic, supply disruption beyond its control). AFD44 will inform the Customer as soon as possible.

The Customer's personal data is collected and processed in accordance with the GDPR (EU Regulation 2016/679). It is used solely within the scope of the commercial relationship and is not transmitted to third parties without consent.

The Customer has a right of access, rectification, and deletion by contacting: contact@afd44.fr.

These GTCs are subject to French law. In the event of a dispute, the parties will endeavour to find an amicable solution. Failing this, the dispute will be brought before the Paris Commercial Court (Tribunal de Commerce de Paris), even in the case of multiple defendants or third-party proceedings.
